Please read these terms carefully before using any Node64 services. By engaging our services, you agree to be bound by these terms.
1. Introduction
Welcome to Node64. These Terms of Service ("Terms") govern your use of all services provided by Node64, including but not limited to web design and development, search engine optimization (SEO), IT infrastructure and networking, hosting and cloud services, backup solutions, uptime monitoring, and AI/automation consulting. By engaging our services or accessing any Node64 platform, you agree to abide by these Terms in their entirety.
2. Services Overview
Node64 provides a comprehensive range of digital and IT services:
- Digital Presence & Development: Custom web design, e-commerce, UI/UX, mobile applications, CMS integration, and web application development.
- SEO & Digital Growth: Search engine optimization, content strategy, technical audits, local SEO, and performance optimization.
- Infrastructure & Networking: Managed IT support, network design, Wi-Fi solutions, firewalls, hardware procurement, and structured cabling.
- Hosting & Cloud Services: Cloud hosting, managed business email, domain management, cloud backups, private drive solutions, and server maintenance.
- Off-Site Backup Solutions: Automated off-site backups from servers, websites, and email accounts with encrypted remote storage and rapid restoration.
- Uptime Monitoring & Notifications: 24/7 monitoring of your websites, servers, and services with instant alert notifications and detailed uptime reporting.
- Modern Tech & AI: Self-hosted AI deployments, data automation, virtualization, cybersecurity consulting, API development, and disaster recovery planning.
Service access and administrative capabilities are provided according to the terms of individual service agreements. Clients may access relevant information, invoices, and support via our designated communication channels.
3. Uptime Guarantee
Node64 guarantees a minimum of 99.9% uptime for all hosting, cloud, and monitored services. In the event of unscheduled downtime exceeding this threshold, Node64 will extend the client's service period proportionally to compensate for the lost availability.
Scheduled maintenance windows will be communicated in advance and do not count toward downtime calculations. Node64 is not responsible for downtime caused by factors outside our control, including but not limited to: third-party service outages, natural disasters, internet backbone disruptions, or client-side misconfigurations.
4. Payment Terms
All payments are denominated in the currency specified in your service agreement unless otherwise agreed in writing.
4.1 Hosting, Cloud & Recurring Services
- A 30% upfront payment is required to initiate services.
- Remaining balance is due according to the billing cycle outlined in your agreement (monthly, quarterly, or annually).
4.2 Web Design & Development Projects
- 50% payment is required before development begins.
- 30% payment is due upon design approval and before final development phase.
- 20% payment is due before final publication and handover.
4.3 Infrastructure & IT Services
- Payment terms for infrastructure projects are defined in the individual project proposal and contract.
- Hardware procurement costs are billed separately and require full payment before ordering.
4.4 Late Payments
- A late payment fee may apply as specified in your individual service contract.
- Services may be suspended if payment is not received within 7 days of the due date.
5. Refund Policy
Due to the nature of our services, refunds are generally not available once work has begun. However, the following exceptions apply:
- Web Design Projects: If a client cancels within 48 hours of making the initial 50% development payment, and before the design phase has commenced, the 50% development payment will be refunded in full. The initial 30% project initiation fee is non-refundable.
- Hosting & Recurring Services: No refunds for partial billing periods. Clients may cancel at any time, and services will remain active until the end of the current billing period.
- Infrastructure & Hardware: Hardware purchases are non-refundable once ordered from suppliers.
6. Content Restrictions & Acceptable Use
Clients may not use Node64 services to host, distribute, store, or transmit:
- Copyrighted material without proper authorization from the rights holder.
- Content that is illegal under applicable local or international law.
- Adult, obscene, or sexually explicit content.
- Malware, ransomware, phishing pages, or any malicious software.
- Content promoting hate speech, violence, or discrimination.
- Unsolicited bulk email (spam) or any activity that violates anti-spam legislation.
Node64 reserves the right to investigate and take appropriate action, including immediate removal of content and termination of services without refund, if these restrictions are violated.
7. Data Ownership & Intellectual Property
7.1 Client Data
All data, content, and materials provided by the client remain the exclusive property of the client. Node64 does not claim ownership over any client data stored on our infrastructure.
7.2 Deliverables
Upon full payment, all custom-built deliverables (websites, applications, designs) are transferred to the client. Node64 retains the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
7.3 Third-Party Components
Some deliverables may include open-source or third-party licensed components. These remain subject to their respective licenses, which will be communicated to the client.
8. Account Suspension & Termination
- Accounts and services may be suspended for non-compliance with these Terms, abuse of services, or non-payment.
- Node64 will provide a 7-day renewal notice before the service due date. If payment is not received by the due date, the service may be suspended.
- If payment is delayed beyond 7 days past the due date, a late payment penalty may apply as specified in the individual service contract.
- If payment is not received within 30 days of the due date, Node64 reserves the right to permanently delete all associated data and terminate the service.
- Clients may request account termination at any time by contacting us. Data export can be arranged prior to termination upon request.
9. Data Protection & Privacy
Node64 is committed to protecting client data. We implement industry-standard security measures including encryption at rest and in transit, regular security audits, access controls, and automated backup systems.
We do not sell, share, or distribute client data to third parties except where required by law or where necessary to provide the contracted services (e.g., domain registration with accredited registrars).
For hosting and cloud clients, data sovereignty is maintained according to the infrastructure location specified in the service agreement.
10. Liability & Disclaimers
- Node64 is not liable for indirect, incidental, or consequential damages arising from service disruptions, data loss, or security breaches beyond our reasonable control.
- Our total liability for any claim shall not exceed the total amount paid by the client for the specific service during the 12 months preceding the claim.
- Node64 does not guarantee specific business results, revenue increases, search rankings, or traffic volumes from using our services. Results depend on many factors outside our control.
- Clients are responsible for maintaining their own backups of critical data unless a managed backup service has been explicitly contracted with Node64.
11. Force Majeure
Node64 shall not be held liable for failure or delay in performing obligations due to events beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, cyberattacks, or failures of third-party service providers.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the use of Node64 services shall be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to the competent courts of the jurisdiction in which Node64 operates.
13. Changes to These Terms
Node64 reserves the right to update or modify these Terms at any time. When changes are made, the "Last Updated" date at the bottom of this page will be revised. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
For material changes that significantly affect client rights or obligations, Node64 will make reasonable efforts to notify affected clients via email or through our communication channels.
